Quotation and Pricing Policy

This policy applies to quotation requests and quotations issued to/by Westco Foods Unltd.

It applies whether a quotation is requested through our website, by email, telephone, messaging service, sales representative or another communication method.

1. Quotation requests

A quotation request is a request for Westco Foods to provide current pricing and availability information.

Submitting a quotation request:

  • Does not place an order
  • Does not reserve stock
  • Does not guarantee availability
  • Does not guarantee a price
  • Does not oblige Westco Foods to supply any product
  • Does not create a contract between the customer and Westco Foods

Products added to the website’s quotation list are not placed in a shopping cart and are not purchased through the website.

2. Quotations are not contracts

A quotation is provided for information and negotiation purposes only.

Unless Westco Foods expressly states otherwise in writing, a quotation is not:

  • A binding offer
  • An order confirmation
  • A guarantee of supply
  • A guarantee that stock will remain available
  • A contract for the sale of goods

A customer’s acceptance of a quotation or submission of a purchase order is treated as an offer by the customer to purchase the specified goods.

A binding supply agreement is formed only when Westco Foods:

  1. Accepts the order in writing or issues an official order confirmation; and
  2. Receives any required deposit, advance payment or credit approval.

An automated website message, form confirmation or email acknowledging receipt of a quotation request is not an order acceptance.

3. Quotation validity

Each quotation is valid only for the period stated on the quotation.

Where no validity period is stated, the quotation will normally expire three business days after its issue date.

After expiration, Westco Foods may:

  • Issue an updated quotation
  • Revise any price
  • Confirm a new validity period
  • Withdraw unavailable products
  • Amend delivery or collection arrangements

The quotation-validity period should be changed from three business days where a shorter or longer period is commercially appropriate.

4. Price fluctuations

Wholesale food prices may change rapidly.

Prices may be affected by circumstances including:

  • Supplier price changes
  • Foreign-exchange movements
  • International commodity prices
  • Shipping and freight charges
  • Fuel costs
  • Import duties, taxes and port charges
  • Insurance and handling costs
  • Product shortages
  • Seasonal availability
  • Market demand
  • Country-of-origin restrictions
  • Government action
  • Supply-chain disruption
  • Changes in product weight, grade, brand, packaging or specification

Westco Foods may revise a quoted price at any time before issuing written order confirmation.

Where a material price change occurs after a quotation is issued but before the order is confirmed, Westco Foods will endeavour to notify the customer and obtain approval of the revised price.

5. Currency

Prices will be stated in the currency shown on the quotation.

Where a quotation involves imported products, export orders or foreign currencies, the final price may be adjusted to reflect the exchange rate applicable when the order is confirmed or payment becomes due.

Customers are responsible for bank charges, intermediary charges, conversion costs or transfer fees unless the quotation expressly states otherwise.

6. Taxes and additional charges

A quotation will state whether applicable taxes are included or excluded.

Unless expressly included, quoted prices may exclude:

  • VAT
  • Delivery charges
  • Freight charges
  • Export documentation
  • Customs duties
  • Port charges
  • Storage fees
  • Special handling
  • Urgent delivery charges
  • Bank or payment-processing fees
  • Other third-party costs

Any additional charges known at the time of quotation will normally be identified separately.

7. Product availability

All quotations are subject to stock availability.

A product appearing on the website or in a quotation does not mean that the product:

  • Is currently in stock
  • Has been reserved
  • Will remain available until the quotation expires
  • Is available in the quantity requested
  • Is available in a particular brand, pack size or country of origin

Stock is reserved only after Westco Foods confirms the order and any required payment or credit approval has been received.

8. Variable-weight products

Certain meat, poultry, seafood, cheese and other products may be sold by weight.

Where the exact weight is not known when a quotation is prepared:

  • The quoted weight or total may be an estimate
  • The final amount will be calculated using the actual supplied weight
  • Natural variations may occur between cases, cuts or individual products
  • The invoiced total may therefore be higher or lower than the quotation

Any approximate case weight displayed on the website or quotation is provided as a guide and is not guaranteed unless expressly confirmed in writing.

9. Brands, packaging and substitutions

Product photographs are for general illustration.

Brands, labels, case sizes, packaging, origin, appearance and specifications may change depending on supplier and stock availability.

Westco Foods will not intentionally substitute a materially different product without communicating with the customer. Where a requested product is unavailable, we may offer:

  • Another available brand
  • A comparable specification
  • A different case size
  • An alternative country of origin
  • A revised delivery date

The customer may accept or decline the proposed substitution.

10. Product information and customer requirements

Customers must review the quotation and confirm that the requested:

  • Product
  • Quantity
  • Weight
  • Brand
  • Pack size
  • Grade
  • Certification
  • Country of origin
  • Dietary requirement
  • Allergen requirement
  • Delivery location

are correct before placing an order.

Customers with allergen, religious, dietary, certification or regulatory requirements must communicate those requirements expressly and obtain written confirmation before ordering.

Website descriptions and photographs should not be relied upon as the sole confirmation of a specialised requirement.

11. Delivery and collection

Any delivery or collection date is an estimate unless Westco Foods expressly confirms that it is guaranteed.

Delivery may be affected by:

  • Stock arrival
  • Route scheduling
  • Weather
  • Traffic
  • Port or customs delays
  • Vehicle availability
  • Mechanical failure
  • Public emergencies
  • Industrial action
  • Events outside Westco Foods’ reasonable control

Customers must provide accurate delivery details and ensure that an authorised person is available to receive, inspect and appropriately store the products.

Export orders may be subject to separate freight, customs, documentation, minimum-order and payment requirements.

12. Errors and omissions

Westco Foods takes reasonable care when preparing quotations. However, quotations may occasionally contain typographical, calculation, description or data-entry errors.

Westco Foods may correct an obvious error before an order is confirmed.

Where an error is identified after confirmation, Westco Foods will contact the customer promptly to agree on a reasonable correction, replacement, revised order or cancellation.

13. Credit arrangements

The issue of a quotation does not grant credit.

Credit sales are subject to:

  • A completed credit application
  • Approval by Westco Foods
  • An approved credit limit
  • The applicable payment terms
  • Continued satisfactory account conduct

Westco Foods may require advance payment, a deposit or settlement of overdue balances before accepting an order.

14. Customer purchase orders

Terms printed on a customer’s purchase order or other document will not automatically replace or amend Westco Foods’ quotation or sales terms.

Any different or additional term must be specifically accepted by Westco Foods in writing.

15. Cancellation and changes

Requests to cancel or amend an order must be made as soon as possible.

A cancellation or change is not effective until accepted by Westco Foods.

Customers may remain responsible for products that have already been:

  • Specially ordered
  • Cut or processed
  • Packed
  • Allocated
  • Dispatched
  • Imported specifically for the customer
  • Subject to non-refundable supplier or freight charges

16. Force majeure

Westco Foods will not be responsible for failure or delay caused by circumstances outside its reasonable control.

These may include natural disasters, storms, flooding, fire, epidemics, war, civil disturbance, industrial action, utility failure, cyber incidents, government restrictions, shipping disruption, port delays, supplier failure or transportation interruption.

Where such an event occurs, Westco Foods may reasonably extend delivery times, revise the quotation, allocate limited stock or cancel the affected portion of an order.

17. Governing law

Quotations and resulting transactions are governed by the laws of Trinidad and Tobago unless Westco Foods expressly agrees otherwise in writing.
